Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you and Afsys Techno Vision Pvt. Ltd., a company incorporated under the Companies Act, 2013, with its registered office at C123, Golghar, Gorakhpur, Uttar Pradesh, India, 273001 (CIN: U62011UP2024PTC202508) ("Inzinx," "we," "us," or "our"). By accessing or using Inzinx (the "Service"), you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity. If you do not agree, do not use the Service.

2. Description of Service

Inzinx provides a hosted API and dashboard for defining, versioning, and evaluating eligibility and pricing/rating rules. Trial, Standard, and Enterprise plans are available, differentiated by daily usage quotas as described on our Pricing page. The Service is offered to businesses worldwide; references to specific laws in these Terms reflect where we are incorporated and do not limit who may subscribe.

3. Eligibility and Accounts

  • You must provide accurate, current information when creating an account, and keep it up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity under your account, whether or not authorized by you.
  • You must notify us promptly at hello@inzinx.com of any unauthorized use of your account or API keys, or any other breach of security.
  • You must be at least 18 years old (or the age of legal majority in your jurisdiction), and have the legal capacity to enter into a binding contract, to use the Service.
  • You represent that your use of the Service, and any data you process through it, complies with the laws applicable to you and your own customers, wherever you and they are located.

4. Plans, Billing, Cancellation, and Taxes

  • The Trial plan includes a 3-month trial period from the date of signup, after which continued use requires upgrading to a paid plan.
  • Paid plans (Standard, Enterprise) are billed as agreed with you individually at the time you upgrade — currently arranged directly with our team rather than through an automated recurring charge, though we may offer automated billing via a payment processor in the future. Either way, continued paid access is conditioned on payment for the agreed billing period.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period, and you will retain access through that date. Except where required by applicable law, all fees already paid are non-refundable — in full, in part, or on a prorated basis — including for early cancellation or non-use of the Service.
  • We reserve the right to change pricing with reasonable advance notice; changes take effect from your next billing cycle.
  • Fees are quoted exclusive of applicable taxes (including India's Goods and Services Tax, where chargeable). You are responsible for any sales, VAT, GST, withholding, or similar taxes associated with your purchase, other than taxes on our net income. If you are required by law to withhold any amount from a payment to us, you agree to gross up that payment so we receive the full fee, and to provide us with official documentation of the amount withheld on request.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Attempt to reverse-engineer, decompile, or circumvent rate limits or quota restrictions.
  • Resell or sublicense access to the Service without our prior written consent.
  • Use the Service to store or process data you do not have the right to process.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service to build a competing product or for benchmarking purposes without our prior written consent.

We reserve the right to suspend or terminate accounts that violate this policy.

6. Your Data and Content

  • You retain all rights to the rules, data, and content you submit to the Service ("Customer Data").
  • You grant us a limited license to host, process, and transmit Customer Data solely to provide, secure, and improve the Service.
  • You are solely responsible for the content, accuracy, and real-world business, financial, or regulatory effects of any eligibility or rating rule you configure and activate through the Service, including any decisions or outcomes it produces for your own customers. We do not review, endorse, or guarantee the correctness of your rules.
  • You are responsible for ensuring you have the necessary rights and permissions — including under any data protection law applicable to you or the individuals whose data you process — for any Customer Data you submit, including any personal data of your own end customers.

7. Intellectual Property

The Service, including its software, design, and documentation, is owned by Afsys Techno Vision Pvt. Ltd. and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features. We do not claim ownership of your Customer Data.

8. API Usage

  • API access is subject to the quota limits of your plan.
  • We may change API endpoints, request/response formats, or add new versions; we will make reasonable efforts to provide notice of breaking changes.
  • Excessive or abusive use may result in throttling or suspension.

9. Confidentiality

Each party may access non-public business, technical, or account information of the other ("Confidential Information"). Each party agrees to use the other's Confidential Information only to perform its obligations under these Terms, and not to disclose it to third parties except to employees, contractors, or service providers who need it for that purpose and are bound by confidentiality obligations at least as protective as these. This does not apply to information that is or becomes public through no fault of the receiving party, was already known to it, or is independently developed.

10. Termination

  • You may stop using the Service and close your account at any time.
  • We may suspend or terminate your account for violation of these Terms, non-payment, or extended inactivity, with notice where reasonably possible.
  • Upon termination, your right to use the Service ceases immediately; provisions that by their nature should survive (e.g. Sections 6, 7, 9, 11, 12, 13) will survive.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Afsys Techno Vision Pvt. Ltd. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. NOTHING IN THESE TERMS LIMITS EITHER PARTY'S LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR ANYTHING ELSE THAT CANNOT BE LIMITED BY LAW.

13. Indemnification

You agree to indemnify and hold harmless Afsys Techno Vision Pvt. Ltd. from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, or your violation of these Terms or applicable law.

14. Force Majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, internet or utility failures, government action, or failures of third-party services we depend on.

15. Export Control and International Use

The Service may be subject to export control and economic sanctions laws, including those of India and the countries where our infrastructure or sub-processors operate. You represent that you are not located in, or a national or resident of, any country subject to a comprehensive embargo, and are not on any restricted-party list, under applicable law. If you access the Service from outside India, you are responsible for complying with local laws applicable to your use.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement, seated in New Delhi, India, conducted in English. The courts at New Delhi, India shall have exclusive jurisdiction over any matter not subject to arbitration (e.g. interim relief). Nothing in this section prevents either party from seeking urgent injunctive relief from a competent court.

17. Grievance Redressal

In accordance with the Consumer Protection (E-Commerce) Rules, 2020 and the Information Technology Act, 2000, any complaints or concerns regarding these Terms or the Service may be directed to our Grievance Officer — see our Privacy Policy for contact details. We will acknowledge complaints within 48 hours and aim to resolve them within 30 days.

18. General Provisions

  • Assignment — You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Severability — If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
  • No waiver — Our failure to enforce any provision is not a waiver of our right to do so later.
  • Entire agreement — These Terms (with our Privacy Policy) constitute the entire agreement between you and us regarding the Service, superseding any prior agreements on this subject.
  • Notices — We may send notices to the email address on your account; you may send notices to us at hello@inzinx.com or our registered office above.

19. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date, and where changes are material, make reasonable efforts to notify you (e.g. by email). Continued use of the Service after changes take effect constitutes acceptance.
